This End User License Agreement ("EULA") is a legal agreement between you ("User," "Licensee") and RMDW LLC ("Licensor," "we," "us"), a Georgia limited liability company, for the use of Kiyomi Bot ("Kiyomi," "the Software").
By downloading, installing, or using Kiyomi, you agree to be bound by the terms of this EULA. If you do not agree, do not install or use the Software.

RMDW LLC grants you a limited, non-exclusive, non-transferable, revocable (only for cause) license to download, install, and use the Kiyomi Bot software on your personal macOS computer(s), subject to the terms below.

The Base plan grants a monthly license that remains active for as long as your subscription is current and in good standing. Your license begins on the date of purchase and auto-renews monthly. Upon cancellation, your license remains active until the end of the current billing period, after which you must uninstall the Software.
The Pro and Agency plans grant a perpetual, non-exclusive, non-transferable license to use the Software indefinitely. "Perpetual" means for as long as the Software is functional — it does not guarantee indefinite compatibility with future macOS versions, though we intend to maintain compatibility for as long as reasonably possible.
Base and Pro licenses authorize installation on one (1) Mac owned or controlled by you. The Agency license authorizes installation on up to three (3) Macs. All installations must be for use by the licensee or their direct employees/contractors — not for resale or redistribution.
Kiyomi, including all code, design, architecture, branding, documentation, and intellectual property, is and remains the exclusive property of RMDW LLC. This EULA grants you a license to use the Software — it does not transfer ownership of the Software or any intellectual property rights.
You own your data. All conversations, files, memory data, configurations, custom skills, and any other content created or stored by Kiyomi on your machine belongs entirely to you. RMDW LLC claims no ownership, license, or rights over your data. Since Kiyomi runs locally, we don't even have access to your data.
You may not:
All license tiers include access to software updates, including bug fixes, performance improvements, and new features, for as long as your license is active.
We reserve the right to introduce major new versions (e.g., "Kiyomi 2.0") as separate products with their own pricing. If we do, existing lifetime licensees will receive a significant discount. We commit to maintaining your current version with security and compatibility updates regardless.
Kiyomi incorporates and integrates with third-party services and open-source components. By using Kiyomi, you acknowledge:
RMDW LLC is not responsible for the availability, performance, or practices of any third-party service.
⚠️ AI-generated content is not guaranteed to be accurate, complete, current, or appropriate for any particular purpose. You are responsible for verifying all AI outputs before relying on them.
Kiyomi uses artificial intelligence to generate responses, suggestions, and content. RMDW LLC makes no representations or warranties regarding the accuracy, reliability, completeness, or suitability of any AI-generated output.
You may cancel your subscription at any time. Upon cancellation, your license remains active through the end of your current billing period. After that, you must uninstall the Software.
Your perpetual license remains in effect indefinitely unless terminated for cause. We may only revoke a perpetual license if you materially breach this EULA — for example, redistributing the Software, reverse engineering it, or using it for illegal purposes. Before termination for cause, we will make a reasonable effort to notify you and give you an opportunity to cure the breach (except in cases of willful infringement or illegal activity).

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RMDW LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
You acknowledge that no software is entirely free of bugs or errors, and that the existence of minor defects shall not constitute a breach of this EULA.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless RMDW LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
This EULA shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under this EULA shall be brought exclusively in the state or federal courts located in Georgia.
If any provision of this EULA is held to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and RMDW LLC with respect to the Software. It supersedes all prior or contemporaneous understandings, agreements, representations, and warranties, both written and oral.
You may not assign or transfer this EULA or your license to any third party without the prior written consent of RMDW LLC. RMDW LLC may assign this EULA in connection with a merger, acquisition, or sale of all or substantially all of its assets.
The failure of RMDW LLC to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by RMDW LLC to be effective.
